These Terms of Service ("Terms") are a contract between you and Magna Arc Financial Ltd. ("Clody," "we," "us," or "our"), a company registered at 700-838 W Hastings Street, Vancouver, BC, Canada, V6C 0A6. By creating an account or using Clody, you agree to these Terms and to our Privacy Policy. If you're using Clody on behalf of a business, you're confirming you have the authority to bind that business to these Terms.
Clody is a bookkeeping and inventory tool for trading card game dealers, built to record sales, purchases, and inventory at card shows. It includes optional AI-assisted features — card and cash recognition from photos, Excel/CSV import mapping, AI-generated daily summaries, and card authenticity checks.
Important: Clody's AI features are assistive tools, not a professional service. Card recognition, authenticity checks, and AI-generated summaries can be wrong. They are not a substitute for a professional grading or authentication service (such as PSA or BGS), and not a substitute for professional accounting, tax, or legal advice. You are responsible for verifying any information Clody's AI features produce before relying on it — especially before buying, selling, or making a business or financial decision based on it.
You must be able to form a legally binding contract to use Clody — for an individual, this generally means being at least the age of majority in your province. You're responsible for the accuracy of your account information and for keeping your login credentials secure. You're responsible for all activity that happens under your account.
Clody offers a free tier with limited events, and a Clody Pro subscription (currently $9.99 CAD/month, billed through Stripe) that unlocks unlimited events and additional features. Pro subscriptions renew automatically each month until you cancel — you can cancel any time, and your Pro access continues until the end of the current billing period. We don't provide partial refunds for the unused portion of a billing period, except where required by law. We'll give you reasonable notice in-app before any price change takes effect.
CDKeys (activation codes distributed by us or by partner dealers/shows) grant Pro access for a fixed period at no charge and are subject to the terms under which they were issued.
You own the business data you enter into Clody — your inventory, transactions, and photos. By using Clody, you grant us a limited license to store, process, and transmit that data solely to provide the service to you (including sending photos to our AI providers when you use an AI-assisted feature, as described in our Privacy Policy). You're responsible for having the right to upload any photo or content you submit, and for the accuracy of the records you keep for your own business, tax, and legal purposes.
If you're a dealer, you can choose to publish a public storefront page listing cards from one of your portfolios. Anyone with the link can view a live storefront and its listed cards without a Clody account — that's the point, so you can share it wherever you already reach buyers. Signing in is only required to ask a question through the storefront's AI concierge or to message a dealer directly.
Messages sent through a storefront — to the AI concierge, or directly between a buyer and a dealer once a conversation is handed off — are not private or confidential. The AI concierge's responses are generated using a third-party AI provider (see our Privacy Policy), and a dealer's team can see the full conversation with any buyer who messaged them. Don't share anything in these messages you wouldn't want the dealer's team, or Clody, to see.
Important: Clody doesn't verify buyer or dealer identity, hold or process payment for anything arranged through a storefront conversation, or guarantee that either party will follow through on a sale. Any arrangement to meet, ship, or pay for an item is solely between the buyer and the dealer — use your own judgment and normal safe-trading practices, the same as you would arranging a sale anywhere else.
You can create an API key in your Dashboard and authorize an AI assistant outside Clody — Meta's Muse, for example — to read and write your books on your behalf. What that assistant can reach, and what we do and don't record about it, is set out in our Privacy Policy.
Anything done with your key is treated as done by you. Keep it secret, don't paste it anywhere public, and revoke it in your Dashboard the moment you think someone else has it. You may connect an assistant to your own account; you may not give your key to another person or business so they can use Clody without their own subscription.
Important: AI assistants get things wrong. They mishear an amount, read the wrong card off a photo, or log a sale against the wrong show. Records created through an assistant are your records and your responsibility — check them before you rely on them. Clody marks trades logged this way for review and shows you the amount to confirm, but confirming them is your job, not ours. Clody is a bookkeeping tool, not an accountant, and nothing it produces is tax, accounting, or legal advice.
We don't control the assistant you connect, and we're not responsible for what it does, what it tells you, whether it's available, or what its provider does with data it has read. That relationship is between you and them, on their terms. We may change, rate-limit, suspend, or withdraw the connector — including a particular key — where we need to in order to keep Clody running for everyone.

Clody is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including that the service will be uninterrupted, error-free, or that any AI-generated output will be accurate. You use Clody, and any decision you make based on it, at your own risk.
To the maximum extent permitted by law, Magna Arc Financial Ltd. will not be liable for any indirect, incidental, special, or consequential damages, or for any loss of profits, revenue, data, or business opportunity, arising from your use of Clody. Our total liability for any claim relating to Clody will not exceed the amount you paid us in the 12 months before the claim arose. Nothing in these Terms limits any liability that cannot be limited under applicable Canadian law.
You can stop using Clody and close your account at any time. We may suspend or terminate your access if you materially breach these Terms, misuse the service, or fail to pay applicable fees. Sections of these Terms that by their nature should survive termination (such as Sections 8, 9, and 12) will continue to apply.
We may update these Terms as the service evolves. If we make a material change, we'll let you know in-app before it takes effect. Continuing to use Clody after a change takes effect means you accept the updated Terms. We may also modify or discontinue features of the service, with reasonable notice where practical.
These Terms are governed by the laws of British Columbia and the federal laws of Canada applicable within it, without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of Clody will be subject to the exclusive jurisdiction of the courts of British Columbia.
